A number of factors drive a company’s decision to pursue committed financing, including a proposed M&A transaction. As your company pursues acquisition financing, it is important to carefully consider and negotiate the suite of engagement documents proposed by your lenders. Jess Tobin, Partner at Hunton Andrews Kurth, Jamie Hadfield, Managing Director at Configure Partners and Benjamin Stolbach, Partner at GHK Capital Partners, will discuss focus points for corporate borrowers and highlight key negotiating points that arise in commitment letters and term sheets, including conditionality, “market flex” provisions and other issues of concern to sellers in M&A transactions.
Panelists will highlight the key concepts and issues on which to focus during the commitment letter/term sheet stage, including understanding the unique issues that arise when negotiating committed financing in connection with an M&A transaction. Attendees will learn the benefits of negotiating a full term sheet in advance of negotiating loan documents, including defining “make or break” issues upfront, streamlining document negotiations and ensuring your company’s compliance post-closing.
