Warehouse Lending 101

This program explores the legal issues that arise in warehouse lending, and how risks have been mitigated with careful legal structuring. Topics include creating a “safe harbor” under the Bankruptcy Code, and ensuring that security interests are properly created and perfected, typically by hiring a third party custodian to hold the documents. We will discuss the differences between warehouse finance of residential mortgages versus commercial mortgages versus non-mortgage assets. And we will highlight some new developments, including the inclusion of e-notes in warehouse facilities.
