Hunton Andrews Kurth LLP acted as counsel to J.P. Morgan Securities LLC, as remarketing agent, for the remarketing of $40 million aggregate principal amount of City of Rockport, Indiana Pollution Control Revenue Refunding Bonds (Indiana Michigan Power Company (I&M) Project), Series D.

I&M is a subsidiary of American Electric Power Company ("AEP") and is part of AEP's vertically integrated utilities segment. I&M is organized in Indiana and is engaged in the generation, transmission and distribution of electric power to approximately 602,000 retail customers in northern and eastern Indiana and a portion of southwestern Michigan, and supplies and markets electric power at wholesale to other electric utility companies, municipalities, rural electric cooperatives and other market participants. I&M owns or leases 3,634 MWs of generating capacity, and uses its generation to serve its retail and other customers.
