Hunton Andrews Kurth Advises Underwriters, Forward Sellers and Forward Purchasers in Connection with Consolidated Edison, Inc. Offering of 14,973,492 Common Shares
Hunton Andrews Kurth LLP advised the underwriters, forward sellers and forward purchasers in connection with an SEC-registered offering of 14,973,492 common shares (inclusive of additional shares purchased by the underwriters pursuant to the over-allotment option) of Consolidated Edison, Inc. (“Con Edison”), were borrowed from third parties by the forward counterparties, and subsequently sold to the underwriters for sale in the offering.
Con Edison is a holding company that operates only through its subsidiaries. Its principal business operations are those of its regulated utility companies, Consolidated Edison Company of New York, Inc. and Orange and Rockland Utilities, Inc., and its clean energy businesses. In addition, through its wholly owned subsidiary, Con Edison Transmission, Inc., Con Edison invests in electric and gas transmission projects.
