Hunton Andrews Kurth Advises on Mississippi Power Company’s Private Placement of $250 Million Senior Notes
Hunton Andrews Kurth LLP advised the purchasers in connection with Mississippi Power Company’s issuance of $250 million aggregate principal amount of its senior notes consisting of (a) $100 million aggregate principal amount of its Series 2024A 5.62% Senior Notes due March 15, 2034 (the “Series 2024A Notes”), (b) $50 million aggregate principal amount of its Series 2024B 5.72% Senior Notes due March 15, 2036 (the “Series 2024B Notes”) and (c) $100 million aggregate principal amount of its Series 2024C 5.91% Senior Notes due June 15, 2054 (the “Series 2024C Notes”), each in a private placement under Section 4(a)(2) of the Securities Act of 1933, as amended. The Series 2024A Notes and Series 2024B Notes were issued on March 27, 2024 and the Series 2024C Notes were issued on June 27, 2024.
Mississippi Power is a wholly owned subsidiary of The Southern Company. Mississippi Power is engaged in the generation, transmission, distribution, and purchase of electricity and the sale of electric service within 23 counties of southeastern Mississippi, at retail in 123 communities (including Biloxi, Gulfport, Hattiesburg, Laurel, Meridian and Pascagoula), as well as in rural areas, and at wholesale to one municipality, six rural electric distribution cooperative associations, and one generating and transmitting cooperative.
