Hunton Andrews Kurth Advises Placement Agent on NiSource Inc. $606 Million PIPE Transaction

Hunton Andrews Kurth LLP advised Credit Suisse Securities (USA) LLC, as sole placement agent, in connection with a private placement of 24,964,163 shares of NiSource Inc.’s common stock, par value $0.01 per share (the “Shares”) for an aggregate offering price of $606,005,057. The offer and sale of the Shares were made in reliance upon an exemption from registration provided under Section 4(a)(2) of the Securities Act of 1933, as amended.

NiSource Inc. is an energy holding company under the Public Utility Holding Company Act of 2005 whose subsidiaries are fully regulated natural gas and electric utility companies serving approximately 3.9 million customers in seven states. Its principal subsidiaries include NiSource Gas Distribution Group, Inc., a natural gas distribution company, and Northern Indiana Public Service Company, a gas and electric company.
