Hunton & Williams Advises on NiSource Finance Corp. $500 Million Debentures Offering

Hunton & Williams LLP advised Citigroup Global Markets Inc., Mitsubishi UFJ Securities (USA), Inc. and Wells Fargo Securities, LLC as joint book-running managers on an SEC-registered offering by NiSource Finance Corp. ("NiSource Finance") of $500 million aggregate principal amount of notes due 2045, which are fully and unconditionally guaranteed by NiSource Inc. ("NiSource").

NiSource Finance is a 100% owned, consolidated finance subsidiary of NiSource that engages in financing activities to raise funds for the business operations of NiSource and its subsidiaries. NiSource is an energy holding company whose subsidiaries provide natural gas, electricity

and other products and services to customers located within a corridor that runs from the Gulf Coast through the Midwest to New England.
