Hunton & Williams (Thailand) Represents the Sellers in 40B Baht Transaction With Tanayong

Bangkok — 29 March 2010 — Hunton & Williams (Thailand) Limited is representing the sellers in the sale of shares totaling 95 percent of Bangkok Mass Transit System PCL (BTSC), the operator of Bangkok’s elevated train system, to property developer Tanayong plc in a cash and share transaction valued at Baht 40 billion (US $1.24 billion), announced by Tanayong to the Stock Exchange of Thailand on 22 March 2010.

When the “back door listing” transaction is completed in early May, BTSC will be Tanayong’s largest business, generating approximately 85 percent of the group’s revenues and shifting its business focus to mass transportation and property development along the elevated train routes.

BTSC has total assets of Baht 55.4 billion, which is approximately 7.3 times Tanayong’s total assets prior to the transaction.

The sellers will receive 55 percent of the total consideration in cash, with the balance received in shares of Tanayong and upon completion the sellers will own approximately 83 percent of Tanayong. Tanayong will raise Baht 22 billion in cash to fund the cash component of the transaction.

The Hunton & Williams team, led by partners Stephen Bennett and Surasak Vajasit, who have advised the sellers in respect of their initial investment into BTSC, through BTSC’s court sanctioned rehabilitation, and now in respect of BTSC’s “back door listing” transaction.
