Orange and Rockland Utilities, Inc.’s Private Placement of Debentures

Hunton & Williams LLP advised purchasers in connection with Orange and Rockland Utilities, Inc.’s (O&R) issuance of $75 million of its Series 2016 A debentures in a private placement under Section 4(a)(2) of the Securities Act of 1933, as amended.

O&R was incorporated in New York State in 1926. O&R is a wholly owned subsidiary of Consolidated Edison, Inc. O&R and its wholly owned utility subsidiary, Rockland Electric Company (RECO), provides service in an approximately 1,3000 square mile service area. O&R provides electric and gas service in southeastern New York. RECO provides electric service in adjacent areas of northern New Jersey.
