The purpose of this program is to discuss recent pronouncements from ISS and other institutional shareholder advisory services with respect to compensation matters, including: (i) areas where ISS and other institutional shareholder advisory services are likely to focus their attention this proxy season; (ii) the impact of the foregoing on compensation designs and any asks of shareholders this proxy season to approve an equity incentive plan or increase a share reserve; and (iii) practice compensatory thoughts as issuers begin preparing for the 2025 annual shareholders’ meetings.
