Discussion points include: (i) shareholder derivative lawsuits, (ii) bolstering the business judgment rule defense, (iii) use of tally sheets and wealth accumulation sheets, (iv) considerations for the Board or Compensation Committee to deliberate when implementing a hire or termination scenario, (v) vetting of conflicts of interest, (vi) proper record taking (e.g., minutes) and (vii) more.
