The purpose of this presentation is focus on “founder” compensation designs and navigating issues related to various designs, including: (i) qualifying and maintaining favorable tax attributes of “founders stock,” (ii) picking the right vesting schedules, (iii) resetting vesting schedules in a funding round financing, (iv) “top-up” equity grants, (v) executive contracts, (vi) governance provisions and more. Part 2 of this series (to be held in March) will cover Key Employees of a start-up company.
